Samoa Surf Association: 2007

The first European record of surfing in Hawaii comes from Lieutenant James King,[1], who completed the journals of Captain James Cook upon Cook's death in 1779. At the time, surfing had already been an integral part of indigenous Hawaiian culture[2] for generations. Native Hawaiian surfers rode waves lying down, sitting or standing on long, hardwood boards. Surfing was as much a part of native Hawaiian life as any major sport is part of western life today, if not more. It permeated every part of Hawaiian society, including religion and myth. Hawaiian chiefs would demonstrate and confirm their authority by the skills they displayed in the surf. The history of surfing is shrouded in the mists of time, as the origins of surfing are unknown. Jackson Crane, an American serving under explorer Captain Cook, was the first American to witness surfing in Hawaii in the late 1700s.
Surfing was a central part of Ancient Hawaiian culture. The chief was the most skilled wave rider in the community with the best board made from the best tree. The ruling class had the best beaches and the best boards, and the commoners were not allowed on the same beaches, but they could gain prestige by their ability to ride the surf on their extremely heavy boards.
When the missionaries from Scotland and Germany arrived in 1821, they forbade or discouraged Hawaiian traditions and cultural practices, including leisure sports such as surfing and holua sledding. By the 20th century, surfing, along with other traditional practices, had all but disappeared. Only a small number of Hawaiians continued to practice the sport and the art of crafting boards. wikipedia

SAMOA SURF ASSCOCIATION CONSTITUTION

1. NAME
The name of the Society shall be "Samoa Surf Association" ("the Association").

2. OBJECTIVES
The objectives for which the Association is established are:

2.1 To, be the representative body for surfing in Samoa and encourage, promote, and advance generally the sport of surfing in Samoa as a safe and healthy sport and recreation for all Samoans.

2.2 To support and promote environmental concerns and issues affecting surfing, also relating to water quality, the coastal environment, access to the coast, coral reefs, lagoon eco-systems and to liaise with such environmental bodies/organization’s who share similar objectives.

2.3 To prevent Samoa surf breaks from being over surfed and exploited by Surf Tour operators and visitors from overseas so as not disregard to the communities and local surfers who live in the region so it can be assured that surfing is maintained as a safe and respectful sport in Samoa.

2.3 To co-operate with any other society, person, or body whether incorporated or not whose objectives are the same as or similar to those of the Association, and to liaise with International Surfing Bodies and Associations and to become affiliated with the International Surfing Association.

2.4 To promote a positive image of surfing and to represent Samoan surfers in an official capacity.

2.5 To work towards the inclusion of surfing as an event in the Olympic Games and in other multisport events.

2.6 To select annual Samoan surf teams.

2.7 To advance water safety rescue, training and education in Samoa to reduce the likelihood of injury or fatality with any sea-borne activity.

2.8 To promote and conduct contests, event management, tours, exhibitions, discussions, special functions, and meetings of and for members at a national level.

2.9 To do all such things as are incidental or conducive to the attainment of the above objectives.

2.10 The primary objective is to promote professional and amateur Surfing, education and recreation, environmental awareness, water safety and the use of funds will reflect this objective.

3. REGISTERED OFFICE

The registered office of the Association shall be situated at such place as the Committee shall from time to time determine.

4. MEMBERSHIP

4.1 Membership of the Association shall be open to any person, surfing club or family within Samoa prepared to support the objectives of the Association.

4.2 Application for membership may be by individual application, or by joining a surfing club affiliated to the Association.

4.3 Acceptance for membership shall be determined by two members of the executive and each applicant shall be notified by the Association's secretary whether or not the application has been accepted.

4.4 Honorary or life membership may be granted by the Association in general meetings on the recommendation of the committee, providing that such persons shall only be eligible for life membership through outstanding service and contribution to the Association.

4.5 Members may be professional or amateur or non-competitive surfers, male or female.

4.6 It shall be the obligation of affiliated surfing clubs to provide full membership lists to the Association for exec approval by 1 October in each year and updated when new members join the club.

4.7 To qualify to represent Samoa in international contests, a surfer must be a Samoan citizen and be prepared to represent and be a good ambassador for Samoan surfing.

4.8 No member shall receive any benefit (financial or otherwise) from the Association for any work done or performed for the general benefit of the Association and its members, provided that the Committee may employ any member or members at its sole discretion to perform any specific task for the club as a matter of contract and at an agreed remuneration for same. This clause is subject to clause 10 of these Rules.

4.9 Any surfing club in Samoa which is a Member of the Association is deemed to be an Affiliated Club.

5. PAYMENTS

5.1 Annual Subscriptions - Individual and Affiliated Club
The Annual subscription in each case shall be fixed each year by the committee and every
member and Affiliated Club shall pay to the Association such annual subscription by such date
as shall be fixed by the committee. No member shall be entitled to enter or organize any competition, or be a Committee member or hold office in the Association or be entitled to vote at any General Meeting, until the relevant subscription is paid.

6. RESIGNATION OF MEMBERS

Any member may resign from membership by giving to the Secretary written notice to that
effect. Resignation shall not release a member from liability for payment of any annual
subscription and any other amounts owing to the Association.

7. CANCELLATION OF MEMBERSHIP

7.1 The committee may at any time, expel and cancel the membership of any member or affiliated
club on the occurrence of any of the following:

7.1.1 A breach of these Rules.

7.1.2 A breach of the Rules made by the Committee under Rule 11.2.12.

7.1.3 A breach of any contest rules sanctioned by the Association.

7.1.4 Conduct which brings disfavor and disrepute on the Association.

7.1.5 A failure to comply with the membership requirements of the Association.

7.1.6 The Committee deciding in its sole discretion and for whatever reason that the
membership of any member be cancelled.

7.1.7 Members who are selected for a national squad and fail to attend meetings, compete or
act out chosen duties after being notified of selection and costs, are liable to one year's
suspension, or such action as may be thought fit by the committee.

7.2 Not withstanding Rule 7.1, the Committee may not exercise the powers set out in Rule 7.1 for
matters relating to doping offences. All allegations that a doping offence/infraction has
occurred will be dealt with in accordance with the Association's Anti-Doping Code.

7.3 Cancellation of membership shall not release a member from liability for payment of any annual
subscription and any other amounts owing to the Association.

7.4 Before exercising such a power of expulsion and cancellation, the Committee shall advise the
member of the alleged breach, conduct, failure, or reason, at a meeting of the Committee and
furnish the member a reasonable opportunity to reply to the same. Having heard the member,
the Committee shall make a decision. Any member aggrieved by the decision of the Committee
may appeal to the Sports Disputes Tribunal of Samoa ("the Tribunal"). The appeal must
be filed within 10 days of the Committee's decision and the appeal will be heard and
determined in accordance with the Rules of the Tribunal and may only be made on one or more
of the following grounds:

7.4.1 That natural justice was denied.

7.4.2 That the Committee acted outside of its power and/or jurisdiction.

7.4.3 That substantially new evidence has become available after the decision which is being
appealed was made.

7.4.4 In respect of a decision relating to misconduct, the penalty was either excessive or
inappropriate.

8. COMMITTEE

8.1 The affairs and business of the Association will be controlled and managed by a Committee (also “exec”) of four members.

8.2 The Committee will consist of the President, Secretary, Treasurer and a Surfer's Representative.

8.3 The Committee will be elected as follows:

a. The President, Vice-President, Secretary, Treasurer, Surfer's Representative will serve one year term and will be elected at the Annual General Meeting each year.
Nominations of all candidates may be taken in writing from any member with voting rights before the Meeting, or in writing or verbally at the Meeting, and must be seconded in the same manner.

b. Once selected, the names of the entire four member committee will be recorded in writing by the newly selected Secretary and published to all members and Clubs on the Association's website, in the “The Observer” and “Newsline” newspapers within one week past the time of selection, and to any member who requests that information in writing.

c. Any vacancy in the Committee occurring after the Annual General Meeting in any year may
be filled by the Committee after calling for written nominations for same.

8.4 Any Committee member who does not attend 3 consecutive Committee meetings shall, in the
absence of any reasonable excuse, be removed from office and the Committee and the
vacancy filled as set out above.

8.6 A quorum of the Committee shall be 3 members. Any absent Committee member may vote on
any particular issue by way of written proxy, but a quorum may not be made up by way of
proxy. Each Committee Member shall have one vote, and the President shall have a casting
vote in any case where votes are equal.

9. OFFICERS

9.1 The Office of President
It shall be the function of the President to chair meetings of the Committee and General
Meetings. The President is the mouthpiece of the Association and shall be responsible for
explaining the policies and decisions of the Committee, and to see that the Committee and
office bearers and members carry out their duties and behave in accordance with these rules.

9.2 The Office of the Vice President

The Vice President shall substitute for the President should the President be absent for
whatever reason.

9.3 The Office of Secretary
The Secretary shall conduct the correspondence of the association and have the custody of the
common seal and all documents belonging to the association.
He/She shall keep full and correct minutes of all Committee and general meetings and shall produce them at all meetings. The secretary shall also cause to be kept a register of all resolutions made by the Committee in terms of rule 11.1 and of all documents to which the seal of the association is affixed, and a Rule Book containing an up to date copy of any Rules made by the Committee under clause
11.2.12. He/She shall file all records, report and communications connected with the business of the
club. The Committee may delegate the duties of the Secretary to a paid Executive Officer
employed by the Association. He/She shall keep a register of members. The register must record an up to date list of all members, showing date of joining, qualifications, classification and any other pertinent facts relating to each member as are authorized by law or the member.

9.4 The Office of Treasurer
The Treasurer shall receive all monies due to the association and the Treasurer’s receipt shall
be sufficient discharge. All monies so received by the Treasurer shall be paid to the Association's account with such bank or banks as the Committee may from time to time decide.
The Treasurer shall submit to the Annual General Meeting each year an audited account of the
receipts and disbursements and a statement of the assets and liabilities, and shall forward a
certified copy to the Registrar. The Treasurer shall pay all accounts within seven days of being passed for payment by the Committee and shall produce a statement of all cash transactions at each meeting of the
Committee.

10. PRIVATE PECUNIARY PROFIT

a. Any income benefit or advantage shall be applied to the purposes of the Association.
b. No member of the Association or any person associated with a member shall participate in or
materially influence any decision made by the Association in respect of the payment to or on
behalf of that member or associated person of any income, benefit or advance whatsoever.
c. Any such income paid shall be reasonable and relative to that which would be paid in an arms
length transaction (being the open market value).
d. The provisions and effect of this clause shall not be removed from these rules and shall be
included and implied into any rules replacing these rules.

11. POWER AND DUTIES OF THE COMMITTEE

11.1 Subject to the directions of the Association in General Meeting, the policy of the Association
shall be determined by and the management and control of its affairs shall be vested in, the
Committee, which may exercise all powers and do all acts and things which may be exercised
or done by the Association and which are not expressly directed or required to be exercised or
done by it in General Meeting.

11.2 Without prejudice to the general powers of the Committee, the Committee may do any of the
following:

11.2.1 Purchase, lease or acquire for the Association any real or personal property or any
rights or privileges at such considerations or price and generally on such terms and
conditions as it thinks fit, and to give and execute mortgages over the land and
chattels purchased or acquired for the purchase money or any part of the purchase
money upon such terms and conditions as the Committee thinks fit.

11.2.2 Purchase, construct, alter and maintain buildings, fences, machinery and other works
as it considers necessary for the use of the Association, and to lease any land or
tenement, and to purchase, sell, lease or let land or any interest in land for such
consideration or price of for such term and upon such rental as the Committee thinks
fit.

11.2.3 Borrow or raise money upon mortgage of the real or personal property of the
Association, or any part of parts of the Association's property, or upon debentures or
mortgage debentures of the Club and to issue such debentures or mortgage
debentures charging the whole or any part of the assets of the Association, and to
execute mortgages to secure such debentures, or to borrow money from banks or
other financial institutions or people with or without security.

11.2.4 Enter into all negotiations, contracts and agreements in the name and on behalf of
the Association as it may consider expedient for the Association's purposes, provided
that such negotiations, contracts and agreements are not in conflict with the
Association's objects,

11.2.5 Receive and give receipts and execute discharges for all gifts, legacies, bequests or
other money, and to execute any trust created for any of the objects of the
Association of for the purpose of furthering any of the objects.

11.2.6 Invest the funds of the Association in such securities as would be considered prudent
trustee investments, take shares in public or private companies, deposit funds with
Banks, and from time to time vary such investments.

11.2.7 Exercise all the rights, powers and duties which under these Rules are required to be
exercised by the Committee.

11.2.8 Engage, control and dismiss employees and exercise all administrative power as may
be necessary to effect the Association's purposes.

11.2.9 Co-opt any person with special experience to serve on the Committee or in some
capacity under the control of the Committee upon such conditions as the Committee
may determine.

11.2.10 The Committee may transact business in open or closed committee. Any financial
member shall be entitled to attend any Committee meeting and witness any business
transacted in open committee. He/She shall have no speaking or voting rights, may
not take part in any debates and may only address the Committee on the invitation of
the Chairperson.

11.2.11 Each committee member shall have one vote and the Chairperson shall have a
casting vote in addition.

11.2.12 Make, alter, and repeal Rules not inconsistent with these Rules and such as are not
required to be made in General Meeting as it may consider necessary from time to
time for the well being and proper conduct of the Association. Any such Rules are to
be recorded in writing and kept by the Secretary and published to Affiliated Clubs as a
matter of course and to individual members upon request, at the cost of photocopying
same.

11.2.13 Create and appoint Sub-Committees and Coordinators of same to manage and coordinate
various facets of surfing and to report back to the Committee on same.

11.2.14 Subject to any rights and procedures set out in these rules to deal with discipline and
disputes, the Committee may in its discretion agree to refer certain sports related
matters to the Sports Disputes Tribunal of Samoa as set out in the rules of that
Tribunal.

12. MEETINGS

12.1 An Annual General Meeting shall be held once each year at a time and place fixed by the Committee. At the meeting the following business shall be transacted:

12.1.1. To receive and consider the Annual Report of the Committee.

12.1.2 To receive the Annual Statement of Accounts of the preceding year and an estimate
of the receipts and expenditure for the ensuing year.

12.1.3 To elect office bearers and members to the Committee for the ensuing year. No
person shall be elected unless they have agreed to stand for election either in person
or in writing.

12.1.4 To decide on any resolution which may be properly submitted to the meeting.

12.1.5 To discuss any other business.

12.2 The Committee may at any time call a Special General Meeting. It shall also be competent for
100 members to sign a requisition to the Secretary to convene a Special General Meeting, and
on receipt of such requisition the Secretary shall call a Meeting. The business to be dealt with
at a Special General Meeting shall be limited to the matters stated in the requisition and notice
of the Meeting.

12.3 Only authorised representatives of incorporated affiliated clubs present shall be entitled to vote
and no proxy votes shall be allowed.

12.4 Association meetings will normally be scheduled once per month to discuss the status of general affairs and events. The meeting schedule is maintained by the Secretary and it shall be communicated to the association’s members in the local newspapers at least ten days prior to each monthly meeting.

13. NOTICE OF BUSINESS

Notice of every General Meeting shall be given as follows:

13.1 In the case of the Annual General Meeting, the fixing of the date of the Samoan National
Championships shall be taken as Notice. If there are no National Championships in any year
notice shall be given as for a Special General Meeting.

13.2 In the case of a Special General Meeting, not less than 14 clear days before the Meeting a
notice of same shall be published in daily newspapers. Notice shall also be posted to all affiliated clubs.

13.3 In calculating the time requirements under clauses 13.1 and 13.2 the day on which the notice is
published and the day of the General Meeting shall be excluded.

14. PROCEDURE AT GENERAL MEETINGS

14.1 At all General Meetings the President or in that person's absence the other
duly elected Chairperson shall take the chair. Any member who is represented at the meetings shall have one vote upon every motion. In any case where the votes are equal the Chairperson shall have a casting vote. The mode of voting shall be decided by the Chairperson at each meeting.

14.2 At all General Meetings eight members with voting rights shall constitute a quorum.

15. ACCOUNTS

Accounts shall be properly maintained with respect to all sums of money received and
expended by the Association and a Statement of Income and Expenditure shall be drawn up to
the 30th day of June in each year. The accounts shall be subject to an audit by an Auditor
appointed by the Association and a duly audited copy of the Statement shall be made available
at the Annual General Meeting.

16. COMMON SEAL

The Association shall provide a common seal which shall be in the custody of the Secretary.
The seal shall only be affixed to an instrument after the passing of a resolution of the Committee
and in the presence of the Secretary and two members of the Committee or the President and
two members of the committee.

17. CONTROL AND INVESTMENT OF FUNDS

All money received by and on behalf of the Association shall immediately be paid to the credit of
the Association in an account or accounts opened with a bank or banks approved by the
Committee. All cheques or withdrawals paid on the account shall be signed by one Committee
member and the Secretary.
The Committee shall have power to direct that separate accounts be opened for specific
purposes.

18. ALTERATIONS OF THE RULES

18.1 These Rules may be altered, added to or rescinded by resolution passed by a two thirds
majority of members present and voting in the manner provided in Rule 14 at a General
Meeting.

18.2 No addition to or alteration or rescission of these Rules shall be approved if it affects Dissolution
clause 19.2.

19. DISSOLUTION

19.1 The Association may be voluntarily wound up in accordance with the provision of any act or
statute under which the Association may be registered by Resolution of a two-thirds majority of
the members voting at an Annual or Special General Meeting of the association, convened for
the purpose.

19.2 If upon the winding up of the Association, whether voluntarily or by the Registrar of Incorporated
Societies or otherwise, there remains after satisfaction of all its debts and liabilities, any property
whatsoever, it shall be held in trust by the Committee to be converted to cash and handed over
to one or more organisations having objectives similar or in part similar to those of The
Association, provided that such donation shall in no way breach clause 10 of these Rules. No
member shall receive any monies or property of the Association whatever.

20. CONTESTS

20.1 The Association shall be the governing body for all surfing contests in Samoa conducted
by its members.

20.2 All contests shall be run on a contest format approved by the Association, and according to
Rules promulgated by the Association.

20.3 Overseas contestants competing in any such contest shall be a member of a body, club,
association or like that is recognised by the Association or the International Surfing Association, however, final discretion is at the decision of the Committee.

20.4 It shall be the duty of the organisers of any contest to ensure that same is run in accordance
with the Rules of the Association.

21. TEAM SELECTION

21.1 Committee

The Association's Selection Committee shall consist of a Convenor of Selectors, and a National
Team Selection Committee of two (i.e. three selectors in total), all of whom will be appointed by
the Committee from time to time and one of whom will be appointed as Team Manager.
It shall be the responsibility of the Selection Committee to determine the size of any particular
team to any contest to which Samoa has been invited or hosted and to determine who shall be
included in any team.
In the case of any dispute as to the size and constitution of any team the Committee shall have
the power to overrule the Selection Committee.
21.2 Policy
The Association will maintain a written selection policy as a Rule pursuant to Rule 11.2.14 for
the purposes of guidance of the Selection Committee and to provide a fair procedural
framework for the selection process and any appeals from it.

22. INDEMNITY

The Committee shall be indemnified by the Association against all liabilities, expenses,
disbursements, and losses incurred by them jointly and severally in and about the discharge of
their duties and the exercise of powers granted under these Rules, except as shall be
occasioned by their own willful, negligent or fraudulent act.
